The SeaPhone User Service Agreement (hereinafter referred to as "this Agreement") is an agreement between you ("User") and SeaPhone regarding the download, installation, registration, enrolment and use (hereinafter collectively referred to as "Use") of SeaPhone and related services (hereinafter referred to as "this Service"). In order to provide you with better services, please read and fully understand this Agreement carefully before starting to use SeaPhone (hereinafter referred to as "this Software") and related services, especially the terms involving exemption or limitation of liability, terms of rights license and information use, terms of consent to open and use special single services, applicable law and dispute resolution terms, etc. Among them, important contents such as exemption or limitation of liability terms will be highlighted in bold for your attention, and you should read them carefully. If you are under the age of 18, please read and fully understand this Agreement in the company of your legal guardian, and use SeaPhone and related services only after obtaining the consent of your legal guardian.
If you do not agree to this Agreement, SeaPhone will not be able to provide you with complete products and services, and you can also choose to stop using SeaPhone. If you fill in the information, read and agree to this Agreement and complete all registration procedures according to the prompts on the registration page, or fill in the information, read and agree to this Agreement and complete all startup procedures according to the prompts on the software startup page, or you actually use this service in other ways permitted by SeaPhone, it means that you have fully read, understood and accepted all the contents of this Agreement, and this Agreement will become legally binding. You promise to accept and abide by the provisions of this Agreement. At that time, you should not claim that this Agreement is invalid or request to revoke this Agreement on the grounds that you have not read the contents of this Agreement or have not received answers to your inquiries from SeaPhone.
The content of this Agreement includes the text of this Agreement and all privacy policies, policies, rules, statements, notices, warnings, tips, instructions (hereinafter referred to as "Rules") that SeaPhone has published or may publish in the future. The aforementioned rules are an integral part of this Agreement and have the same legal effect as the text of the Agreement.
SeaPhone has the right to modify or supplement this Agreement and related rules as needed. The modified or supplemented content constitutes an integral part of this Agreement. Once the modified agreement and rules are announced (through the SeaPhone official website or client software), they will immediately replace the original agreement and rules and automatically take effect. When using SeaPhone and related services, you should promptly check and understand the modified agreement and rules. If you do not agree to the relevant changes, you should immediately stop using SeaPhone. If you continue to log in or use SeaPhone and related services, it will be deemed that you accept the modified agreement and related rules.
SeaPhone provides various forms of service software such as SeaPhone computer client and mobile client (the specific details are subject to those provided by SeaPhone). SeaPhone will continue to enrich the terminals and forms of your use of this service. If you have registered for a form of service, you can use other versions of the service with the same account. This Agreement and related rules automatically apply to your use of all versions of SeaPhone software and services.
If you register, log in and use this software and/or service on behalf of an organization rather than yourself, you will be deemed to be fully authorized to agree to this Agreement and related rules and regulations on behalf of the organization, as well as the modifications and supplements to this Agreement and related rules and regulations from time to time.
1.1 You must have full civil capacity and civil rights to use this service. If you are under the age of 18, please read and fully understand this agreement in the company of your legal guardian, and use SeaPhone and related services after obtaining the consent of your legal guardian. If you are not the aforementioned qualified subject but continue to sign this agreement, all losses and consequences arising from the use of this service shall be borne by you (and your guardian).
1.2 In accordance with the relevant national laws and regulations, in order to use some functions of SeaPhone and related services, you must fill in the accurate and true company name, personal name, email address, mobile phone number and any other information required during registration according to the registration prompts of SeaPhone, and ensure that the above registration information is updated in a timely manner when it changes and ensure the validity and legality of the updated information. If the materials or information you submit are inaccurate, untrue, non-standard, or SeaPhone has reason to suspect that they are wrong, untrue, or illegal, SeaPhone has the right to refuse to provide you with relevant functions, and you may not be able to use SeaPhone and related services or some functions will be restricted during use.
1.3 You understand and promise that the account you set up does not violate national laws and regulations and the company's relevant rules. Your account name, avatar, profile and other registration information and other personal information shall not contain illegal and bad information. You shall not open an account in the name of others (including but not limited to impersonating others' names, titles, font sizes, avatars or other methods that are confusing) without their permission, and you shall not maliciously register SeaPhone accounts (including but not limited to frequent registration, batch registration of accounts, etc.). SeaPhone has the right to review the information you submit. You must abide by relevant laws and regulations during account registration and use, and shall not engage in any behavior that infringes on national interests, damages the legitimate rights and interests of other citizens, or is harmful to social morality. Otherwise, SeaPhone has the right to restrict or ban your account in this software, and suspend or terminate some or all functions of the service. In this case, SeaPhone will not bear any responsibility to you.
1.4 Your account can only be logged in and used by you. Without the written consent of SeaPhone, it is prohibited to give, borrow, rent, transfer, sell or otherwise allow others to use the account in any form. You may add multiple sub-accounts within the scope permitted by this Agreement and relevant business rules based on the content of the purchased services. You acknowledge and agree that any disputes between you and the sub-account users or between the sub-account users will be resolved and borne by you and/or the relevant parties, and will not be related to SeaPhone; SeaPhone will not intervene in the handling of such disputes, nor will it be liable to you or any relevant party for this.
1.5 You are responsible for maintaining the security of your registered SeaPhone account and password, and assume all legal responsibility for the activities you engage in under the name of your registered account. In the event of loss or disclosure of your account or password due to your own reasons, SeaPhone will not be liable for any loss or damage caused by your failure to comply with this security obligation.
1.6 You may only use the Service for your own (or internal if you are using it on behalf of an organization) operations. You may not use the Service for any illegal or unauthorized purpose, including but not limited to not providing the Service or any part of it to any third party in any way for profit or non-profit purposes, and may not use the Service to engage in any illegal or infringing third party intellectual property rights or other legal rights activities.
1.7 You shall comply with all applicable laws and regulations and the provisions of this Agreement and the Business Rules in the use of the Service, and shall not commit any illegal, infringing or infringing third party legal rights; you shall bear the corresponding legal responsibility for all actions under your account.
2.1 Before you use SeaPhone and related services, you may obtain the SeaPhone client application through download methods provided by SeaPhone or a third party authorized by SeaPhone. If you do not obtain SeaPhone and related services from SeaPhone or a third party authorized by SeaPhone, SeaPhone cannot guarantee that the unofficial version of SeaPhone and related services can be used normally, and SeaPhone has nothing to do with any losses you suffer as a result.
2.2 In order to ensure the security of SeaPhone and related services and improve user services, after some or all of SeaPhone and related services are updated, SeaPhone will, if feasible, prompt you in an appropriate manner (including but not limited to system prompts, announcements, in-site messages, etc.), and you have the right to choose whether to accept the updated version; if you choose not to update, some functions of SeaPhone and related services may be restricted or cannot be used normally.
2.3 You need to prepare terminal devices related to the software and related services (such as computers, mobile phones or other Internet devices) by yourself when using SeaPhone and related services. In order to fully realize all the functions of SeaPhone, you need to connect your terminal device to the Internet, and you need to bear the required expenses (such as traffic fees, Internet fees, etc.).
2.4 You can start using SeaPhone and related services without registration, but some functions or services may be affected without registration. At the same time, you also understand that in order to enable you to better use SeaPhone and related services and protect the security of your account, certain functions and/or certain individual service items will require you to provide real identity information and register and log in in accordance with relevant national laws and regulations before you can use them.
2.5 The basic functions of this software are free, and the basic functions only include: environment management, proxy IP management, member management, and fee management. This software supports wallet account recharge, and all payments must be completed through a valid bank card/credit card/Alipay/WeChat account, etc.
2.6 You can subscribe to SeaPhone VIP service (hereinafter referred to as "VIP service"). If you need to subscribe to VIP service, please read the rules or service agreement on the relevant VIP service page and choose to subscribe to the relevant VIP service according to your needs. Your subscription to VIP service indicates that you have read, understood and agreed to the terms of service of VIP service. VIP service is a paid service provided by us. You can only use VIP service after paying the corresponding fee according to the charging standard of VIP service. After payment is completed, you cannot transfer or request a refund without reason. VIP service supports automatic renewal. We will automatically deduct the service fee for the next subscription period from your account balance before 24:00 on the day when your subscription period expires. You can cancel the automatic renewal function at any time. If you do not cancel the automatic renewal function before 24:00 on the day when your subscription period expires, it will be automatically renewed and deducted. If you have subscribed to VIP service and completed the payment, and SeaPhone terminates the provision of VIP service to you due to reasons, SeaPhone's obligation is only to return to you the part of the fee corresponding to the VIP service period that you have paid but have not used.
2.7 SeaPhone reserves/holds the right to set some services as paid services. If SeaPhone opens any paid service and you choose to use the paid service, you need to pay the corresponding fee yourself. For paid services, SeaPhone will give you a clear reminder before you use them. Only when you confirm your willingness and pay the relevant fees according to the reminder, you can use such paid services. If you refuse to pay the relevant fees, you may not be able to use such paid services.
2.8 With your consent andSubject to accepting all the terms of this Agreement, SeaPhone agrees to grant you a revocable, modifiable, non-exclusive, non-transferable and non-re-licensable right to use SeaPhone and related services for personal use only. All other rights not expressly authorized in this Agreement remain reserved by SeaPhone. You must obtain SeaPhone's written permission before exercising such rights. At the same time, if SeaPhone does not exercise any of the aforementioned rights, it does not constitute a waiver of such rights.
3.1 You understand and agree that SeaPhone and related services provided by SeaPhone are provided in accordance with the current status of existing technology and conditions. SeaPhone will do its best to provide you with services and ensure the continuity and security of the services. You understand and agree that SeaPhone cannot foresee and prevent technical and other risks at any time, including but not limited to service interruptions, inability to use SeaPhone and services normally, and other losses and risks caused by force majeure, network reasons, third-party service defects, third-party websites, etc. SeaPhone does not assume any responsibility for the losses and risks caused by such reasons.
3.2 You understand and agree that in order to protect the development of SeaPhone's business, SeaPhone reserves the right to change (including but not limited to upgrades, updates, additions, reductions, etc.) and interrupt or terminate the provision of SeaPhone and related services at any time. If necessary, SeaPhone will announce it through system announcements, notifications, or other methods that SeaPhone deems appropriate. Please pay attention to and check the relevant situation in a timely manner.
3.3 If you violate the provisions of laws and regulations, or any third-party infringement complaint occurs, SeaPhone will have the right to restrict or ban your account on SeaPhone, and suspend or terminate some or all functions of the service, and have the right to require you to compensate for all losses caused to SeaPhone. You shall bear all consequences caused by the aforementioned illegal or infringing acts. You understand and agree that termination of this service will result in termination and deletion of your account and all content and information in your account.
4.1 In order to provide you with better services or changes in national laws and regulations, policy adjustments, technical conditions, product functions, etc., SeaPhone will revise this Agreement from time to time, and the revised content shall constitute an integral part of this Agreement. Once the terms of this Agreement are changed, SeaPhone will issue an updated version on SeaPhone and remind you through system announcements, notifications or other methods that SeaPhone deems appropriate. When you use SeaPhone and related services, you should check and understand the modified content in a timely manner. If you continue to log in or use SeaPhone and related services, it will be deemed that you have recognized and accepted the modified terms of the agreement; if you have any objections to the modified terms of the agreement, please immediately stop logging in or using SeaPhone and related services.
4.2 SeaPhone's operating company [ ] has the right to unilaterally decide to arrange or designate its affiliates, controlling companies, successor companies or third-party companies recognized by [ ] to continue to operate SeaPhone according to the needs of SeaPhone and related services or operations. In addition, certain services involved in this agreement may be provided to you by [ ]'s affiliates, controlling companies, successor companies or third-party companies recognized by [ ]. Your knowledge and agreement to accept the relevant service content shall be deemed to accept that the relevant rights and obligations are also subject to this agreement.
4.3 SeaPhone reserves the right to change, upgrade, modify, transfer, suspend or terminate part or all of the Services or any part of the Services and their related functions and applications at any time at its sole discretion. You agree that SeaPhone shall not be liable to you or any third party for the above actions.
4.4 SeaPhone reserves the right to adjust the types, forms and fee standards of the services provided at any time according to actual conditions. All price changes of the Services will be notified by SeaPhone. SeaPhone may do so by push notification, email, official website announcement or by changing the SeaPhone software or the Service itself. Your continued access to the Software and/or use of the Service shall be deemed as your acceptance of the changed Services and prices. You agree that SeaPhone shall not be liable to you or any third party for the above actions.
5.1 You shall ensure the legality of any content uploaded, stored, or accessed during the use of this software and service, and ensure that the content does not violate any laws and regulations, does not violate public order and good customs, and does not infringe on the intellectual property rights or other legal rights of any third party. Any intellectual property disputes and other disputes related to the content you upload, store, or access will be resolved by you and the relevant parties and you will bear all responsibilities. It has nothing to do with SeaPhone. If SeaPhone suffers any losses as a result, you agree to compensate in full. If SeaPhone receives any complaints or objections regarding the legality or ownership of the content of this software/service, it will have the right to delete the relevant content without notifying the user.
5.2 During your use of SeaPhone software and services, SeaPhone has the right to review the content you upload, store, access, and send. If any third party raises any objection to any of your content, or SeaPhone believes that any of your content is suspected of being illegal, in violation of this Agreement, infringing on the rights of a third party, or is inappropriate, or may affect the rights of other users or third parties, SeaPhone has the right (but not the obligation) to refuse or delete any content at its sole discretion and will not bear any responsibility. You must compensate SeaPhone for all expenses and losses incurred by any third party for any claims, claims, requests, or lawsuits brought against SeaPhone by any third party due to the aforementioned circumstances.
5.3 SeaPhone has the right to delete any content and accounts that SeaPhone deems to contain illegal, offensive, threatening, libelous, defamatory, obscene, pornographic or any other negative information at any time, or delete any content and accounts that SeaPhone deems to be in violation of the law, the provisions of this Agreement, or may cause harm or damage to any SeaPhone user, employee or third party, or that SeaPhone deems to have any other negative impact. You shall not spread any worms or viruses or any destructive code during the use of SeaPhone software and services.
5.4 When you use content provided by other users or third parties through this software and services, you shall obtain the permission or consent of the content provider in advance; you shall bear the responsibility and third-party losses caused by your failure to comply with the above rules of use, which shall not be related to SeaPhone. If you cause losses to SeaPhone, you shall also compensate SeaPhone for all losses.
5.5 When using SeaPhone and its related services, you may not: (1) modify, translate, annotate, adapt, arrange, or interpret SeaPhone; (2) copy, reproduce, disseminate, or display all or part of the content of SeaPhone's programs, user manuals, and/or other graphic, text, audio, or video materials; (3) analyze, modify, attack, or derive SeaPhone through reverse engineering, decompilation, disassembly, or any other means; (4) detect, intercept, obtain, or use SeaPhone's source code and/or any information stored in SeaPhone by any means; (5) delete, cover, or alter SeaPhone's or any third party's copyright notice, trademark, or other intellectual property notice; (6) delete, cover, or alter any information displayed by SeaPhone; (7) exploit any technical defects or vulnerabilities that may exist in SeaPhone to profit for yourself or others in any form or Engage in other improper behaviors; (8) Use any means or methods to attempt to attack the servers, routers, switches and other equipment that provide SeaPhone and related services in order to illegally obtain or modify unauthorized data, affect the normal order of SeaPhone services, and other harmful purposes; (9) Destroy or interfere with SeaPhone and related services in any way, maliciously damage SeaPhone, disrupt the normal order of services or deliberately spread malicious programs or viruses, and other behaviors that damage or interfere with normal network information services; (10) Make, publish, disseminate, and use any form of auxiliary tools or programs that hinder SeaPhone and related services; (11) Malicious registration (including but not limited to frequent and batch registration), stealing or using other people's accounts or passwords to log in/use SeaPhone; (12) Other behaviors that affect SeaPhone's brand image or company interests.
5.6 When using SeaPhone and related services, you shall not conduct intrusion, sabotage, fraud, post illegal speech or other illegal acts, and shall not produce, upload, download, disseminate or browse the following content: (1) Opposing the basic principles established by the Constitution; (2) Endangering national security, leaking state secrets, subverting the state power, and undermining national unity; (3) Damaging the honor and interests of the state; (4) Inciting ethnic hatred and discrimination, and undermining ethnic unity; (5) Undermining the state's religious policies, promoting cults and feudal superstitions; (6) Spreading rumors, disrupting social order, and undermining social stability; (7) Spreading obscenity, pornography, gambling, violence, murder, terror, or abetting crimes; (8) Insulting or slandering others, infringing on the legitimate rights and interests of others; (9) Information containing other content prohibited by laws and administrative regulations.
5.7 During your use of SeaPhone and related services, you are prohibited from engaging in the following activities: (1) any form of spam: such as posting a large number of any emails/message boards/comments/messages and pictures; (2) any form of advertising fraud or click fraud: such as telecommunications fraud; (3) disguise, impersonate or deceive to achieve illegal purposes; (4) post illegal remarks or cheat on social platforms (such as Weibo, WeChat, Douyin, Xiaohongshu, etc.); (5) any other activities suspected of illegal or illegal activities.
If SeaPhone has reason to believe that your behavior violates or may violate the above agreement, SeaPhone may independently judge and handle it, and has the right to delete the relevant content, terminate the provision of this service to you, deactivate your account without prior notice, and pursue relevant legal liabilities.
6.1 SeaPhone legally enjoys all legal rights (including but not limited to intellectual property rights) to the content provided in SeaPhone and related services (including but not limited to appearance design, applications, source code, software, technology, programs, web pages, textual expressions and their combinations, pictures, images, charts, icons, decorations, icons, audio, video, color combinations, interface design, layout framework, application programming interface and related data, printed materials, electronic documents, etc.). All copyrights and all other intellectual property rights based on which SeaPhone provides SeaPhone and its related services belong to SeaPhone. Without the prior written permission of SeaPhone, no one may make any unauthorized use of it, including but not limited to not reproducing, copying, distributing, exhibiting, adapting, compiling, publishing, disseminating, selling or using any part of the HTML/ CSS, JavaScript or visual design elements and concepts of the Service. Without the prior written consent of SeaPhone, you may not implement, use, transfer or license others to implement any of the above intellectual property rights or any part thereof for any purpose.
6.2 The "SeaPhone", "SeaPhone" logo (graphic) and/or other product and service logos of SeaPhone and its related services are trademarks or registered trademarks of SeaPhone and its affiliates in China and/or other countries/regions. You may not use them without the legal authorization of SeaPhone.
6.3 SeaPhone and its affiliates own patents, trademarks, copyrights and other intellectual property rights in SeaPhone and related services. SeaPhone and its affiliates provide you with SeaPhone and related services, which does not constitute authorization to you.any intellectual property rights related to SeaPhone and its affiliates, SeaPhone or other SeaPhone.
6.4 You understand and agree that for any information and content you upload, publish, or disseminate through SeaPhone and related services (whether to provide/open the function of distributing such information and content and when to provide such function shall be determined by SeaPhone at its sole discretion), you grant SeaPhone a free, permanent, non-exclusive, irrevocable authorization and license worldwide, and SeaPhone has the right to use, copy, adapt, compile, publish, translate, create derivative works based on, disseminate, perform and display such information and content in whole or in part, and/or incorporate such content in whole or in part into any work, service or technology of SeaPhone and/or its affiliates, by itself or by a third party.
6.5 All rights not expressly granted to you in this Agreement are reserved by SeaPhone and its affiliates.
7.1 You agree that SeaPhone provides the Services only on an "as is" and "as available" basis. SeaPhone guarantees that the Services provided are consistent with the corresponding Service Description and the Service Commitments published by SeaPhone from time to time. In addition to the above warranty, SeaPhone does not make any other express or implied warranties regarding SeaPhone and related services, including but not limited to no warranties: (1) SeaPhone and related services will meet your specific requirements or needs; (2) SeaPhone and related services will be uninterrupted, timely, secure or error-free; (3) The results obtained from the use of SeaPhone and related services will be accurate or reliable; (4) Any errors in SeaPhone and related services will be corrected.
You are aware of and agree to the above-mentioned conditions of this software and services, and agree to bear all risks of using this software and services at your own risk.
7.2 You acknowledge and agree that SeaPhone is not responsible for any content you may access through SeaPhone and related services, and you agree to use this service at your own risk.
7.3 Based on the open nature of the Internet, you are aware that uploading pictures, information or any materials to the Internet may be copied, reproduced, modified or used for other illegal purposes by other organizations or individuals, and you must be fully aware of the existence of such risks; you explicitly agree that the risks of using this software and the services under this agreement will be borne entirely by you; you will pursue the liability and losses caused by third-party infringement from the third party, and SeaPhone does not need to bear any responsibility to you in this regard.
7.4 In any case, SeaPhone shall not be liable for SeaPhone's inability to access, delays, stagnation or errors in information and data, or failure or delay in providing the Service due to Internet connection failure, communication or other system failure, hacker attack, virus, power failure, strike, labor dispute, riot, uprising, riot, fire, flood, storm, explosion, force majeure, war, government action, orders of international or domestic courts, inaction of third parties or any other reasons beyond SeaPhone's reasonable control.
7.5 You understand and agree that this Agreement is intended to ensure compliance with national laws and regulations, maintain public order and good customs, and protect the legitimate rights and interests of users and others. SeaPhone will make its best efforts to make judgments in accordance with relevant laws and regulations within its capabilities, but it does not guarantee that SeaPhone's judgments are completely consistent with those of judicial and administrative agencies. You have understood and agreed to bear the consequences of this.
7.6 SeaPhone shall not be liable for any special, indirect, punitive, incidental or other damages (including but not limited to loss of profits or interest, loss of your privacy, disclosure of your personal data, theft, failure to perform any duty including good faith or reasonable prudence, negligence and any other reasons) regardless of whether it is foreseeable or not, regardless of the form of action or inaction. Unless otherwise expressly provided by laws and regulations, the total liability of SeaPhone to you, regardless of the reason or the form of action, shall never exceed the fees (if any) paid by you to SeaPhone during the use of SeaPhone and related services.
7.7 You acknowledge and agree that SeaPhone shall not be liable to you for the inability to access (use) related services or data loss caused by your failure to pay service fees or default in service fees.
8.1 SeaPhone has the right to review and supervise your use of SeaPhone and related services. If you violate laws, regulations, relevant policies, this Agreement or other terms of service, or if SeaPhone determines that the user's account data is abnormal, SeaPhone has the right to require the user to correct it or directly take necessary measures according to the circumstances (including but not limited to advance warning, refusal to publish, immediate suspension of information transmission, deletion of content or comments, short-term prohibition of publishing content or comments, restriction of part or all functions of the user's account, restriction/suspend/termination of the user's activities/authorities in SeaPhone and related services, termination of authorization for SeaPhone and related services, forced offline, account suspension, change or deletion of user-related information content, etc.), and SeaPhone does not assume any responsibility for the consequences of your inability to use the account and related services normally, inability to obtain assets or other rights in your account normally, etc. SeaPhone has the right to announce the handling results and has the right to decide whether to resume the use of the relevant account based on the actual situation. SeaPhone will keep relevant records of suspected violations of laws and regulations, suspected illegal and criminal acts, and has the right to report to the relevant competent authorities, cooperate with the relevant competent authorities in investigations, and report to the public security organs in accordance with the law. SeaPhone has the right not to restore deleted content.
8.2 If you violate laws, regulations, relevant policies, this agreement or other service terms, resulting in third-party complaints or litigation claims, SeaPhone has the right to take all legal and reasonable measures after receiving notification from the right holder or relevant party. You shall handle all rights claims raised by third parties on your own and bear all legal responsibilities that may arise from them. If SeaPhone and its affiliates, controlling companies, and successor companies compensate any third party or suffer penalties from state agencies due to your illegal, infringing or breach of contract, you shall also fully compensate SeaPhone and its affiliates, controlling companies, and successor companies for all direct and indirect losses (including but not limited to economic losses, loss of goodwill, appraisal fees, assessment fees, notarization fees, penalties, attorney fees, arbitration fees, litigation fees, preservation fees, guarantee fees, damages compensation fees, etc.) suffered as a result.
9.1 The formation, effectiveness, performance, interpretation and dispute resolution of this Agreement shall be subject to the laws of the People's Republic of China (excluding Hong Kong, Macao and Taiwan). If any provision of this Agreement is invalid or unenforceable due to conflict with the laws of the People's Republic of China, such provisions shall be interpreted and used as close to the original purpose of this Agreement as possible without violating the law, and the other provisions of this Agreement shall remain fully valid and effective.
9.2 This Agreement is signed in the High-tech Zone, Zhuhai City, Guangdong Province, the People's Republic of China. If any dispute arises between you and SeaPhone, both parties shall try to resolve it through friendly negotiation. If the negotiation fails, you agree to submit the dispute to the Zhuhai International Arbitration Court for arbitration in accordance with the arbitration rules in effect at that time.
10.1 All notices issued by SeaPhone to you under this Agreement may be issued by SeaPhone in any of the following ways: (1) through push notifications, emails, official website announcements, etc.; (2) by sending an email to the email address provided by SeaPhone when you register or change your information thereafter (sent and deemed delivered).
10.2 If any provision of this Agreement is determined to be completely or partially invalid or unenforceable for any reason, the invalid or unenforceable provision will be replaced by a valid and enforceable provision that is closest to the original provision, and the remaining provisions of this Agreement shall remain valid and enforceable.
10.3 The failure or delay of SeaPhone to exercise any right, power or privilege provided for in this Agreement shall not be deemed a waiver of such exercise, and the exercise of any single or partial right, power or privilege shall not preclude any other or further exercise of the right, power or privilege or the exercise of any other right, power or privilege under this Agreement.
10.4 You and SeaPhone are independent entities. In any case, this Agreement does not constitute any form of express or implied warranty or condition of SeaPhone and its affiliates to you, and no agency, partnership, joint venture or employment relationship is constituted between the two parties.
10.5 The final right of interpretation of this Agreement belongs to SeaPhone.
《SeaPhone用户服务协议》（以下简称“本协议”）是您（“用户”）与SeaPhone就下载、安装、注册、登记、使用（以下统称“使用”）SeaPhone及相关服务（以下简称“本服务”）所订立的协议。为更好地为您提供服务，请您在开始使用SeaPhone（以下简称“本软件”）及相关服务之前仔细阅读并充分理解本协议，特别是涉及免除或者限制责任的条款、权利许可和信息使用的条款、同意开通和使用特殊单项服务的条款、法律适用和争议解决条款等。其中，免除或者限制责任条款等重要内容将以加粗形式提示您注意，您应重点阅读。如您未满18周岁，请在法定监护人陪同下仔细阅读并充分理解本协议，并征得法定监护人的同意后使用SeaPhone及相关服务。
如您不同意本协议，这将导致SeaPhone无法为您提供完整的产品和服务，您也可以选择停止使用SeaPhone。如您按照注册页面提示填写信息、阅读并同意本协议且完成全部注册程序后，或您按照软件启动页面提示填写信息、阅读并同意本协议且完成全部启动程序后，或您以其他SeaPhone允许的方式实际使用本服务时，即表示您已充分阅读、理解并接受本协议的全部内容，本协议即产生法律约束力。您承诺接受并遵守本协议的约定，届时您不应以未阅读本协议的内容或者未获得SeaPhone对您问询的解答等理由，主张本协议无效，或要求撤销本协议。
本协议内容包括本协议正文及所有SeaPhone已经发布或将来可能发布的隐私政策、各项政策、规则、声明、通知、警示、提示、说明（以下简称“规则”），前述规则为本协议不可分割的组成部分，与协议正文具有同等法律效力。
SeaPhone有权根据需要修改或补充本协议及相关规则，修改或补充内容构成本协议的组成部分，变更后的协议和规则一经公布（通过SeaPhone官方网站或客户端软件进行公布），立即取代原协议及规则并自动生效。您在使用SeaPhone及相关服务时，应当及时查阅了解变更后的协议和规则。如您不同意相关变更，应当立即停止使用SeaPhone，如您继续登录或使用SeaPhone及相关服务即视为您接受变更后的协议及相关规则。
SeaPhone提供SeaPhone电脑客户端、手机客户端等各种形式服务软件（具体以SeaPhone提供的为准）。SeaPhone会不断丰富您使用本服务的终端、形式等，如您已注册使用一种形式的服务，则可以以同一账号使用其他版本服务，本协议及相关规则自动适用于您对所有版本的SeaPhone软件和服务的使用。
如果您代表某个机构而非您个人，您注册、登录和使用本软件和/或服务，则您将被认为获得充分授权代表该机构同意本协议及相关规则条款以及本协议及相关规则条款不时的修改和补充。
1.1 您应具有完全民事行为能力和民事权利能力方可使用本服务。若您未满18周岁，请在法定监护人陪同下仔细阅读并充分理解本协议，并征得法定监护人的同意后使用SeaPhone及相关服务，若您并非前述适格主体但仍继续签署本协议的，因使用本服务所产生的一切损失及后果由您（及您的监护人）自行承担。
1.2 依照国家相关法律法规的规定，为使用SeaPhone及相关服务的部分功能，您必须依照SeaPhone的注册提示填写准确、真实的公司名称、个人姓名、电子邮箱、手机号以及其他任何在注册时要求的信息，并须确保在上述注册信息发生变化时及时更新信息及确保更新信息的有效性和合法性。若您提交的材料或提供的信息不准确、不真实、不规范或SeaPhone有理由怀疑为错误、不实、不合法的资料，则SeaPhone有权拒绝为您提供相关功能，您可能无法使用SeaPhone及相关服务或在使用过程中部分功能受到限制。
1.3 您理解并承诺，您所设置的账号不违反国家法律法规及公司的相关规则，您的账号名称、头像和简介等注册信息及其他个人信息中不得出现违法和不良信息，未经他人许可不得用他人名义（包括但不限于冒用他人姓名、名称、字号、头像或其他足以让人引起混淆的方式）开设账号，不得恶意注册SeaPhone账号（包括但不限于频繁注册、批量注册账号等行为）。SeaPhone有权对您提交的信息进行审核。您在账号注册及使用过程中需遵守相关法律法规，不得实施任何侵害国家利益、损害其他公民合法权益，有害社会道德风尚的行为，否则SeaPhone有权限制、封禁您在本软件的账号，及暂停或终止提供服务的部分或全部功能。在此情况下，SeaPhone将不向您承担任何责任。
1.4 您的账户只可以由您本人登录及使用，未经SeaPhone书面同意，禁止以任何形式赠与、借用、出租、转让、售卖或以其他方式许可他人使用该账号。您可以根据购买的服务内容，在本协议及相关业务规则允许的范围内，添加多个子账户。您知悉并同意，您与子账户使用人之间或各子账户使用人之间的任何纠纷将由您及/或相关方自行解决及承担责任，与SeaPhone无关；SeaPhone将不会介入该等纠纷的处理，亦不会就此向您或任何相关方承担任何责任。
1.5 您有责任维护您注册的SeaPhone账户和密码的安全性，并对您以注册账号名义所从事的活动承担全部法律责任。因您自身原因导致的账户或密码丢失、泄露等情形的=，SeaPhone不会因您未能遵守这一安全保障义务而对因此导致的任何损失或损害承担任何责任。
1.6 您仅能为自身（若您代表机构使用的，则为机构内部）运营之目的使用本服务，您不得出于任何非法或未经授权的目的使用本服务，包括但不限于不得以营利或非营利目的以任何方式向任何第三方提供本服务或其任何部分，不得利用本服务从事任何违法或侵犯第三方知识产权或其他合法权益的活动。
1.7 您在使用本服务过程中应遵守所有可适用的法律法规及本协议、业务规则的规定，不得发生任何违法、违反本协议或侵犯第三方合法权益的行为；您应对您账户项下的全部行为承担相应法律责任。
2.1 您使用SeaPhone及相关服务之前，可以通过SeaPhone、SeaPhone已授权的第三方提供的下载方式等获取SeaPhone客户端应用程序。若您并非从SeaPhone或经SeaPhone授权的第三方获取SeaPhone及相关服务，SeaPhone无法保证非官方版本的SeaPhone及相关服务能够正常使用，您因此遭受的损失与SeaPhone无关。
2.2 为保证SeaPhone及相关服务安全、提升用户服务，在SeaPhone及相关服务的部分或全部更新后，SeaPhone将在可行的情况下以适当的方式（包括但不限于系统提示、公告、站内信等）提示您，您有权自行选择是否接受更新后的版本；如您选择不作更新，SeaPhone及相关服务的部分功能将可能受到限制或不能正常使用。
2.3 您使用SeaPhone及相关服务需自行准备与软件及相关服务有关的终端设备（如电脑、手机或其他上网设备）。为充分实现SeaPhone的全部功能，您需要将终端设备联网，并需由您自行承担所需要的费用（如流量费、上网费等）。
2.4 您无需注册也可开始使用SeaPhone及相关服务，但未经注册部分功能或服务可能会受到影响。同时，您也理解，为使您更好地使用SeaPhone及相关服务及保障您的账号安全，某些功能和/或某些单项服务项目将要求您按照国家相关法律法规的规定，提供真实的身份信息实名注册并登录后方可使用。
2.5 本软件基础功能免费，基础功能仅包括：环境管理、代理IP管理、成员管理、费用管理4个模块。本软件支持钱包账户充值，所有的支付必须通过一个有效的银行卡/信用卡/支付宝/微信账户等完成。
2.6 您可以订阅SeaPhone VIP服务（以下简称“VIP服务”）。如您需要订阅VIP服务，请您阅读相关VIP服务页面的规则或服务协议，根据需求选择订阅相关VIP服务。您订阅VIP服务即表明您已阅读、理解并同意VIP服务的服务条款。VIP服务是我们提供的收费服务，您须在按照VIP服务的收费标准支付相应费用后，方可使用VIP服务。支付完成后，您不可无故进行转让或要求退费。VIP服务支持自动续费，我们将在您的订阅期到期当天24时前，从您的账户余额中自动代扣下一个订阅期的服务费。您可以随时取消自动续费，如您未在订阅期到期当天24时前取消自动续费功能，将会自动续订及扣款。如果您订阅了VIP服务并完成了支付，因SeaPhone原因终止向您提供VIP服务的，SeaPhone的义务仅在于向您返还您已付费但尚未使用的VIP服务期对应的部分费用。
2.7 SeaPhone保留/持有将部分服务设定为收费服务的权利，如SeaPhone开通任何收费服务，且您选择使用该收费服务时，您需要自行支付对应的费用。对于收费服务，SeaPhone会在您使用之前给予您明确的提示，只有当您根据提示确认愿意并支付相关费用后，您才能使用该等收费服务。如您拒绝支付相关费用，您可能无法使用该等收费服务。
2.8 在您同意并接受本协议全部条款的前提下，SeaPhone同意授予您一项可撤销的、可变更的、非专有的、不可转让和不可再授权的、仅限于个人使用用途的使用SeaPhone及相关服务的权利。本协议未明示授权的其他一切权利仍由SeaPhone保留，您在行使该等权利前须另行获得SeaPhone的书面许可，同时SeaPhone如未行使前述任何权利，并不构成对该等权利的放弃。
3.1 您理解并同意，SeaPhone提供的SeaPhone及相关服务是按照现有技术和条件所能达到的现状提供的。SeaPhone会尽最大努力向您提供服务，确保服务的连贯性和安全性。您理解并同意，SeaPhone不能随时预见和防范技术以及其他风险，包括但不限于不可抗力、网络原因、第三方服务瑕疵、第三方网站等原因可能导致的服务中断、不能正常使用SeaPhone及服务以及其他的损失和风险，SeaPhone对该等原因造成的损失和风险不承担任何责任。
3.2 您理解并同意，为保障SeaPhone业务发展，SeaPhone保留随时变更（包括但不限于升级、更新、增加、减少等）及中断或终止提供SeaPhone及相关服务的权利。如有必要，SeaPhone会通过系统公告、通知或SeaPhone认为恰当之方式进行公布，请您留意及时查阅了解相关情况。
3.3 如您违反法律法规的规定，或发生任何第三方侵权投诉，SeaPhone将有权限制、封禁您在SeaPhone的账号，及暂停或终止提供服务的部分或全部功能，并有权要求您赔偿因此给SeaPhone造成的全部损失，前述违法或侵权行为导致的一切后果由您自行承担。您理解并同意，终止本服务将导致终止及删除您的账户及账户中的所有内容及信息。
4.1 为给您提供更好的服务或国家法律法规、政策调整、技术条件、产品功能等变化需要，SeaPhone会适时对本协议进行修订，修订内容构成本协议的组成部分。本协议条款一旦发生变动，SeaPhone会在SeaPhone发出更新版本，并通过系统公告、通知或其他SeaPhone认为恰当之方式进行提醒您。您在使用SeaPhone及相关服务时，应当及时查阅了解修改的内容。如您继续登录或使用SeaPhone及相关服务，则视为您认可并接受修改后的协议条款；如您对修改后的协议条款有异议的，请立即停止登录或使用停止使用SeaPhone及相关服务。
4.2 SeaPhone的运营公司【 】 有权依SeaPhone及相关服务或运营的需要单方决定，安排或指定其关联方、控制公司、继承公司或【 】认可的第三方公司继续运营SeaPhone。并且，就本协议项下涉及的某些服务，可能会由【 】的关联方、控制公司、继承公司或【】认可的第三方公司向您提供。您知晓并同意接受相关服务内容，即视为接受相关权利义务关系亦受本协议约束。
4.3 SeaPhone保留在任何时候自行决定对服务或服务任何部分及其相关功能、应用软件变更、升级、修改、转移、中止或终止部分或全部服务的权利。您同意，对于上述行为，SeaPhone对您和任何第三人不承担任何责任。
4.4 SeaPhone保留根据实际情况在任何时候调整提供的服务种类、形式、费用标准的权利。所有服务的价格的改变，都会收到来自SeaPhone的通知。SeaPhone可通过推送通知、邮件、官网公告或改变SeaPhone软件或服务本身等方式进行。您继续访问本软件及/或使用本服务，即视为您接受变更后的服务及价格。您同意，对于上述行为，SeaPhone对您和任何第三人不承担任何责任。
5.1 您应确保使用本软件及服务过程中所上传、存储、访问的任何内容的合法性，确保内容不违反任何法律法规的规定，不违反公序良俗，不侵犯任何第三方的知识产权或其他合法权益。任何与您上传、存储、访问的内容有关的知识产权纠纷及其他纠纷将由您与相关方自行解决并承担全部责任，与SeaPhone无关，若SeaPhone因此遭受任何损失的，您同意全额赔偿。SeaPhone如果收到关于本软件/本服务内容合法性或权属的任何投诉或异议，将有权不经通知用户即删除相关内容。
5.2 在您使用SeaPhone软件及服务过程中，SeaPhone有权对您上传、储存、访问、发送的内容进行审核，如任何第三方对您的任何内容提出任何异议，或SeaPhone认为您的任何内容涉嫌违法、违反本协议、侵犯第三方权益、存在任何不当，或可能影响其他用户或第三方权益，SeaPhone有自行决定拒绝或删除任何内容的权利（而非义务），且不承担任何责任。您必须为因前述情形导致的第三方对SeaPhone提出的任何索赔、主张、请求或诉讼，赔偿SeaPhone因此发生的全部费用及遭受的全部损失。
5.3 SeaPhone有权在任何时候删除在SeaPhone看来包含非法的、攻击、威胁、中伤、诽谤、淫秽、色情或任何其他不良信息的内容和账户，或删除任何SeaPhone认为违反法律规定、本协议约定、可能对SeaPhone任何用户、员工或第三方造成侵害或损害，或SeaPhone认为可能存在任何其他不良影响的内容和账户。您在使用SeaPhone软件及服务过程中不得传播任何蠕虫或病毒或具有破坏性的任何代码。
5.4 您通过本软件及服务使用其他用户或第三方提供的内容时，应事先取得内容提供方的许可或同意；您未能遵守上述使用规则所引发的责任及第三方损失将由您自行承担，与SeaPhone无关，给SeaPhone造成损失的，还须赔偿SeaPhone的全部损失。
5.5 您使用SeaPhone及相关服务时，不得具有下列行为：（1）修改、翻译、注释、改编、整理、演绎SeaPhone；（2）复制、翻拷、传播和陈列SeaPhone的程序、使用手册和（或）其他图文音像资料的全部或部分内容；（3）通过反向工程、反向编译、反汇编或其他任何手段对SeaPhone进行分析、修改、攻击、衍生；（4）通过任何方式探测、拦截、获取、使用SeaPhone源代码及/或存储于SeaPhone中的任何信息；（5）删除、掩盖或更改SeaPhone或任何第三方的版权声明、商标或其它知识产权声明；（6）删除、掩盖或更改SeaPhone所展现的任何信息；（7）利用SeaPhone可能存在的技术缺陷或漏洞而以任何形式为自己或他人谋利或者从事其他不正当行为；（8）使用任何方式或方法、试图攻击提供SeaPhone及相关各项服务的相关服务器、路由器、交换机以及其他设备，以达到非法获得或修改未经授权的数据资料、影响正常的SeaPhone服务秩序，以及其他危害性目的的行为；（9）任何方式破坏、干扰SeaPhone及相关服务，恶意破坏SeaPhone，扰乱正常的服务秩序或故意传播恶意程序或病毒以及其他破坏干扰正常网络信息服务的行为；（10）制作、发布、传播、使用任何形式的妨碍SeaPhone及相关服务的辅助工具或程序；（11）恶意注册（包括但不限于频繁、批量注册）、盗取或使用他人账号或密码登录/使用SeaPhone；（12）其他影响SeaPhone品牌形象或公司利益的行为。
5.6 您使用SeaPhone及相关服务时，不得进行入侵、破坏、诈骗、发布非法言论以及其他违反法律的行为，不得制作、上传、下载、传播或者浏览如下内容：（1）反对宪法所确定的基本原则的；（2）危害国家安全，泄露国家秘密，颠覆国家政权，破坏国家统一的；（3）损害国家荣誉和利益的；（4）煽动民族仇恨、民族歧视，破坏民族团结的；（5）破坏国家宗教政策，宣扬邪教和封建迷信的；（6）散布谣言，扰乱社会秩序，破坏社会稳定的；（7）散布淫秽、色情、赌博、暴力、凶杀、恐怖或者教唆犯罪的；（8）侮辱或者诽谤他人，侵害他人合法权益的；（9）含有法律、行政法规禁止的其他内容的信息。
5.7 您使用SeaPhone及相关服务过程中，禁止从事如下活动：（1）任何形式的垃圾邮件：如大量发布任何邮件/留言板/评论/消息和图片；（2）任何形式的广告欺诈或点击欺诈：如电信诈骗；（3）伪装、冒充或欺骗以到达非法目的；（4）社交类平台（如微博、微信、抖音、小红书等）发表非法言论、刷榜；（5）其他任何涉嫌违法违规的活动。
如果SeaPhone有理由认为您的行为违反或可能违反上述约定的，SeaPhone可独立进行判断并处理，且有权在不事先通知的情况下删除相关内容、终止向您提供本服务、停用您的账号，并追究相关法律责任。
6.1 SeaPhone依法享有SeaPhone及相关服务中提供的内容（包括但不限于外观设计、应用程序、源代码、软件、技术、程序、网页、文字表述及其组合、图片、图像、图表、图标、图饰、图标、音频、视频、色彩组合、界面设计、版面框架、应用程序编程接口及有关数据、印刷材料、电子文档等）的一切合法权属（包括但不限于知识产权）。SeaPhone提供SeaPhone及其相关服务所依托的全部著作权及一切其他知识产权均归属SeaPhone所有。未经SeaPhone事先书面许可，任何人不得对其进行任何未经授权的使用，包括但不限于不得进行复制、拷贝、发行、展览、改编、汇编、出版、传播、出售使用本服务的任何部分HTML/ CSS，JavaScript或视觉设计元素和理念。未经SeaPhone事先书面同意，您不得为任何目的自行实施、利用、转让或许可他人实施上述任何知识产权或其任何部分。
6.2 SeaPhone及其相关服务所体现的“SeaPhone”、“SeaPhone”徽标（图形）和/或SeaPhone的其他产品和服务标示均属于SeaPhone及其关联公司在中国及/或其他国家/地区的商标或者注册商标。未经SeaPhone合法授权，您不得使用。
6.3 SeaPhone及其关联公司在涉及SeaPhone及相关服务中拥有专利权、商标权、著作权及其他知识产权。SeaPhone及其关联公司向您提供SeaPhone及相关服务，并不视为向您授予任何与SeaPhone及其关联公司、SeaPhone或其他与SeaPhone相关的任何知识产权。
6.4 您理解并同意，对于您通过SeaPhone及相关服务上传、发布、传播的任何信息、内容（是否提供/开放该种可发布信息、内容的功能及何时提供该种功能由SeaPhone自行决定）,您授予SeaPhone一项在全世界范围内的免费的、永久性的、非独家的、不可撤销的授权及许可，SeaPhone有权自行或许可第三方完全或部分使用、复制、改编、汇编、出版、翻译、据此创作衍生作品、传播、表演和展示该部分信息及内容，和/或将该部分内容的全部或部分编入SeaPhone及/或关联公司的任何作品、服务或技术中。
6.5 本协议未明确授予您的权利均由SeaPhone及其关联公司保留。
7.1 您同意SeaPhone只基于“现况”及“现有”基础提供服务。SeaPhone保证提供的本服务与相应的服务介绍及SeaPhone不时公布的服务承诺相符。除上述保证外，SeaPhone不对SeaPhone及相关服务作出任何其他明示或暗示的保证，包括但不限于不保证：（1）SeaPhone及相关服务将满足您的具体要求或需要；（2）SeaPhone及相关服务将不间断，及时、安全或无差错；（3）使用SeaPhone及相关服务所获得的结果准确或可靠；（4）SeaPhone及相关服务的任何错误都将被纠正。
您知悉及同意上述本软件及服务状况，并同意自行承担使用本软件及服务的全部风险。
7.2 您知悉及同意，SeaPhone不对您可能通过SeaPhone及相关服务接触的到任何内容负责，您同意自担风险使用本服务。
7.3 基于互联网的开放性属性，您知悉将图片、信息或任何资料上传到互联网上，有可能会被其他组织或个人复制、转载、擅改或做其它非法用途，您必须充分意识到此类风险的存在；您明确同意使用本软件及本协议服务所存在的风险将完全由您自己承担；因第三方侵权所产生的责任和损失将由您向第三方追索，SeaPhone无须就此向您承担任何责任。
7.4 不论在何种情况下，SeaPhone均不对由于互联网连接故障，通讯或其他系统的故障，黑客攻击、病毒、电力故障，罢工，劳动争议，暴乱，起义，骚乱，火灾，洪水，风暴，爆炸，不可抗力，战争，政府行为，国际、国内法院的命令，第三方的不作为或任何SeaPhone不能合理控制的原因而造成的SeaPhone不能访问、信息及数据的延误、停滞或错误，不能提供或延迟提供本服务而承担责任。
7.5 您理解并同意，本协议旨在保障遵守国家法律法规、维护公序良俗，保护用户和他人合法权益，SeaPhone在能力范围内尽最大的努力按照相关法律法规进行判断，但并不保证SeaPhone判断完全与司法机关、行政机关的判断一致，如因此产生的后果您已经理解并同意自行承担。
7.6 不论是否可以预见，不论是源于何种形式的行为或不作为，SeaPhone不对因任何原因造成的任何特别的、间接的、惩罚性的、突发性的或其他任何损害（包括但不限于利润或利息的损失、因您隐私泄漏、您个人资料等的泄露、被盗用等，因未能履行包括诚信或合理谨慎在内的任何责任、因过失和因任何其他原因造成的金钱上的损失或其他损失等）承担责任。除法律法规另有明确规定外，SeaPhone对您承担的全部责任，无论因何原因或何种行为方式，始终不超过您在使用SeaPhone及相关服务期间支付给SeaPhone的费用（如有）。
7.7 您知悉并同意，由于您未支付服务费用或拖欠服务费用而导致的无法访问（使用）相关服务或者数据丢失，SeaPhone无须就此向您承担任何责任。
8.1 SeaPhone有权对您使用SeaPhone及相关服务的情况进行审查和监督。如您违反法律、法规、相关政策、本协议或其他服务条款规定，或经SeaPhone判断用户的账号数据异常，SeaPhone有权要求用户改正或直接视情况采取必要的措施（包括但不限于预先警示、拒绝发布、立即停止传输信息、删除内容或评论、短期禁止发布内容或评论、限制用户账号的部分或全部功能、限制/暂停/终止用户在SeaPhone及相关服务中的活动/权限、终止SeaPhone及相关服务的授权、强制离线、封停账号、更改或删除用户相关信息内容等），对于因此而造成您无法正常使用账号及相关服务、无法正常获取您账号内资产或其他权益等后果，SeaPhone不承担任何责任。SeaPhone有权公告处理结果，且有权根据实际情况决定是否恢复相关账号的使用。对涉嫌违反法律法规、涉嫌违法犯罪的行为，SeaPhone将保存有关记录，并有权依法向有关主管部门报告、配合有关主管部门调查、向公安机关报案等。对已删除内容，SeaPhone有权不予恢复。
8.2 因您违反法律、法规、相关政策、本协议或其他服务条款规定，引起第三方投诉或诉讼索赔的，SeaPhone有权在收到权利方或者相关方通知的情况下采取一切合法、合理地措施。针对第三方提出的全部权利主张，您应当自行处理并承担全部可能由此引起的法律责任。因您的违法、侵权或违约等行为导致SeaPhone及其关联方、控制公司、继承公司向任何第三方赔偿或遭受国家机关处罚的，您还应足额赔偿SeaPhone及其关联方、控制公司、继承公司因此遭受的全部直接和间接损失（包括但不限于经济损失、商誉损失、鉴定费、评估费、公证费、处罚费、律师费、仲裁费、诉讼费、保全费、担保费、损害补偿费等费用）。
9.1 本协议的成立、生效、履行、解释及争议的解决均应适用中华人民共和国（不包括香港、澳门、台湾地区）法律。若本协议之任何规定因与中华人民共和国的法律抵触而无效或不可执行，则这些条款应在不违反法律的前提下尽可能按照接近本协议原条文目的之原则进行解释和使用，且本协议其它规定仍应具有完整的效力及效果。
9.2 本协议签订地为中华人民共和国广东省珠海市高新区。若您与SeaPhone发生任何争议，双方应尽量友好协商解决，如协商不成，您同意将争议提交至珠海国际仲裁院，并按照届时有效的仲裁规则进行仲裁。
10.1 本协议项下SeaPhone向您发出的所有通知，SeaPhone可按以下任一方式发出：（1）通过推送通知、邮件、官网公告等形式发出；（2）向您注册时或者此后变更您信息时向SeaPhone提供的电子邮箱发送电子邮件（发出即视为送达）。
10.2 如本协议中任何条款因任何原因被判定为完全或部分无效或不具有执行力的，该无效或不具有执行力的条款将被最接近原条款义务的一项有效并可执行的条款所替代，并且本协议的其余条款仍应有效并具有执行力。
10.3 SeaPhone未能或延迟行使本协议规定的任何权利、权力或特权不应视为放弃行使，且任何单一或部分权利、权力或特权的行使不应排除权利、权力或特权的任何其他或进一步的行使或本协议项下任何其他权利、权力或特权的行使。
10.4 您和SeaPhone均是独立的主体，在任何情况下本协议不构成SeaPhone及其关联公司对您的任何形式的明示或暗示担保或条件，双方之间亦不构成代理、合伙、合营或雇佣关系。
10.5 本协议最终解释权归SeaPhone所有。
